General Terms of Cooperation MB PARTNER and ON TIME TAXI Program

These General Terms of Cooperation apply to new Users from the moment of their acceptance. For Users already in Cooperation, the principles of informing about changes specified in § 16 apply.

The Terms are provided in a form that allows them to be saved and reproduced. By accepting the Terms, the User confirms that they have read their content before concluding or continuing the Agreement.

  6. Portal – a service or panel made available to the User by the Partner, in particular the MB Partner portal or the On Time Taxi portal. Both portals are interfaces of the same account in the Partner's database; the User may use them interchangeably, and the choice of login address does not create a separate cooperation relationship or a separate version of the Terms.
  7. Commission Agreement – a commission agreement concluded between the Partner and the User to provide passenger transport services or delivery of food, parcels, or other items.
  8. Agreement B2B – an agreement concluded between the Partner and the User being an entrepreneur, performed personally or, if the Agreement allows, through employees or persons cooperating with them.
  9. Subcontractor – a User who has concluded Agreement B2B and performs its subject matter through persons for whom they are responsible in accordance with the Agreement and legal regulations.

  15. Applications – applications and services mediating in the transport of people or delivery of food, parcels, or other items, in particular Uber, Bolt, FreeNow, iTaxi, Uber Eats, Bolt Food, Stuart, Wolt, Jush, and Xpress Delivery, as well as other applications with which the Partner may engage in cooperation.

  17. Cooperation – performing activities based on Agreements related to the use of Applications and the execution of transports or deliveries, which result in the generation of revenues, costs, obligations, or other legal effects for the User, Partner, OTT Organizer, or Fleet Entity.

  19. Balance – the balance of accounts resulting from Cooperation, which may be positive or negative and is subject to Settlement in accordance with the Agreements and Conditions.
  20. Settlement Period – 7 calendar days from Monday at 00:00 to Sunday at 23:59, unless the relevant Agreement or service rules explicitly provide for a different period.

  24. Official Channels – Portal, User's email address indicated on the Portal, SMS message to the User's verified number, and address kontakt@mbpartners.pl.

§ 2. General provisions, account and security

  1. Providing data is voluntary, but providing complete, true, and up-to-date data is necessary to commence and maintain Cooperation. The Partner may require re-verification of identity, documents, phone number, email address, or bank account if justified by security, legal regulations, or settlement protection.
  2. The User is responsible for the truthfulness of the provided data and documents and promptly updates information, the changes of which may affect the Cooperation. Using someone else's, altered, forged, or knowingly false data constitutes a significant breach of the Terms.
  3. The account on the Portal and the accounts in the Applications are individual in nature. Their sale, rental, transfer, sharing, or allowing an unauthorized person to execute orders from the User's account is prohibited.
  4. The subcontractor may use the work of others only in accordance with Agreement B2B, legal regulations, and App rules. These persons must be previously reported and verified, and if the Application allows it – use accounts or subaccounts assigned to them. The subcontractor is responsible for their actions and omissions to the extent arising from the Agreement and legal regulations.
  5. The User uses a unique and strong password, does not disclose the password, one-time codes, or authentication codes, and if the function is available – enables multi-factor authentication. The Partner never asks for the full password or one-time code in an email, SMS, or messenger.
  6. The User promptly reports to the Partner the loss of a phone, SIM card, access to email, suspicion of account takeover, unusual change of data, or unauthorized operation. Until resolved, the Partner may log out all sessions, force a password change, revoke access tokens, block withdrawals, or restrict account access.
  7. The following is particularly prohibited: creating fictitious or duplicated accounts, simulating courses or deliveries, modifying GPS location, falsifying documents and Application Reports, manipulating cash orders, bonuses, or referral programs, and circumventing security measures of the Portal, Applications, or Tools.
  8. The Partner may record events related to logging in, data changes, withdrawal orders, and operations in the Portal to the extent necessary for security, settlements, abuse detection, and claim enforcement. These data are subject to verification and may be corrected if an error is demonstrated.
  9. The Partner may temporarily disable or limit the Portal due to failures, technical work, updates, or security threats. Whenever possible, the Partner will inform about the planned interruption in advance and take reasonable actions to restore the service.
  10. The Partner does not guarantee a specific number of orders, App availability, or a specific level of income. The Partner is not responsible for decisions of the Apps, payment operators, authorities, or other third parties beyond its control unless the damage results from the Partner's willful action or omission or liability cannot be excluded by law.
  11. Before starting to use the Application, the User becomes acquainted with its current regulations and requirements and complies with the law, Terms, Agreements, and regulations applicable to the specific service.
  12. In case of document conflict, the precedence is as follows: individual provisions of the Agreement, Fleet Vehicle lease Agreement or another agreement concerning a specific Tool, special conditions of a given service, these Terms, and then the Application’s regulations regarding the User’s relationship with the Application. Mandatory legal provisions take precedence over all documents.
  13. A request for the deletion of personal data is processed in compliance with data protection regulations. If the further processing of specific data is necessary for the performance of the Agreement, fulfillment of a legal obligation, establishment or defense of claims, or defense against claims, the data may be retained to the necessary extent. The lack of data necessary for the performance of the Agreement may result in the inability to continue the Cooperation after prior notification to the User.

§ 3. Commencement and Suspension of Cooperation

  1. Cooperation may commence with an individual who meets at least one of the following conditions and other requirements appropriate for their model of Cooperation:
    1. operates a business registered in Poland;
    2. can legally perform work or services within the territory of Poland;
    3. has been legally employed or engaged by the Subcontractor;
    4. has obtained the required work permit or other title legalizing the performance of work;
    5. has provided the required data in the Portal, submitted the necessary documents, and successfully passed Partner verification.
  2. Before commencing order execution, the User must conclude the relevant Agreements, have an active account in at least one Application, and possess the required equipment, documents, authorizations, examinations, licenses, and permits.
  3. The User may not commence order execution before concluding the required Agreements. Commencing work without an Agreement does not create the right to use the Partner's assets or accounts; revenues and costs incurred before clarifying the situation are settled according to law and the actual course of events.
  4. The Partner may suspend Cooperation for the time necessary to clarify justified doubts regarding identity, legality of work, validity of documents, security, abuse, breach of Application regulations, or risk of harm. The Partner, unless it threatens security or the explanatory process, will provide the User with the reason and allow for the submission of explanations or documents.
  5. The Partner may terminate the Agreement with immediate effect in the event of a significant breach of law or Agreement, use of false documents, loss of necessary work permissions, creation of a threat to life, health, or property, refusal to return entrusted property, proven abuse, or repeated violation of the Terms despite a call to cease. Termination of the Agreement does not exclude the obligation to make a final Settlement.
  6. In the absence of activity in Applications for more than 60 days from the last use of the Application, the Partner may terminate the Agreement with a 7-day notice period.
  7. The User immediately notifies the Partner of the loss or change of permit, license, work right, driver's license, examinations, insurance, student or student status, social security title, and any other change that may affect the proper performance of the Agreement.
  8. A User benefiting from exemptions or special insurance rules presents documents confirming the entitlement, in particular, a valid ID or certificate of student or student status, and a document confirming another insurance title. The Partner may periodically renew verification, no more often than once a month and at least once every three months, if necessary for proper public-law settlements.

§ 4. Settlement Rules

Settlement costs mean a specified amount or percentage of the revenue from the Application retained by the Partner when determining the User's remuneration in accordance with the Agreement and the applicable Cooperation model. They constitute an element of revenue sharing between the Partner and the User, not the price of a separate settlement service purchased by the User. The settlement shows the revenue, applied settlement costs, and the resulting remuneration amount. Taxes, contributions, Application operator fees, and other dues arising from Agreements, including vehicle usage, are separately accounted for.

  1. The basis for Settlement consists of Agreements, Application Reports, Portal data, properly documented costs and payments, and information provided by the Partner via Official Channels. In case of discrepancies, the Partner compares available sources and corrects obvious or demonstrated errors.
  2. The Settlement includes one or more Settlement Periods and should be conducted at least once a month, unless the Agreement stipulates a more frequent schedule.
  3. The balance may include in particular:
    1. revenues attributed to the User by the Applications;
    2. bonuses, promotions, tips, and Application adjustments;
    3. Application commissions and fees;
    4. taxes, contributions, and other public law liabilities resulting from the Agreement;
    5. cash collected from customers and payments accepted by the Partner's terminal;
    6. fuel card transactions, advances, and early payments;
    7. fees for services, Tools, Fleet Vehicle, sports cards, and other documented liabilities resulting from the Agreement.
  4. The User may utilize the following forms of Settlement:
    1. automatic – no later than within 5 days after the end of the Settlement Period, if the balance is at least 260 PLN (or at least 60 PLN for a profile associated with a partner), as well as in a shift model, subject to the time necessary to receive and verify Application Reports;
    2. on-demand – via instruction in the Portal; regardless of the instruction, the system may enforce a Settlement after 30 days without payout, with no minimum balance threshold;
    3. accelerated payout – if the Portal and the given Application allow for obtaining a reliable partial report. The accelerated payout is of an advance nature and may be adjusted in the final Settlement. The Partner may disable it when necessary due to a property entrustment agreement, lease, settlement, installment repayment, Debt, or justified risk of incorrect Settlement.
  5. The payout instruction is executed to the verified account indicated in the Portal. Changing the account may require additional identity verification and may result in the suspension of payout for a period necessary for verification, not longer than 48 hours, unless a longer suspension results from legal provisions, an authority's order, or documented suspicion of abuse.
  6. The settlement includes the following settlement costs and principles for determining remuneration, if applicable to the chosen Cooperation model:
    1. Commission price list associated with this version of the Terms
      1. Users without an active Agreement at the time of publication use this price list from publication. Users with an active Agreement at this time retain the previous price list until the effective date of this version of the Terms. Qualification for this group is fixed at publication and does not change due to a subsequent change in the Agreement status.
      2. The company's standard price list. From the moment this version of the Terms applies to a given User, the following global amounts, percentages, and Application combination principles are applied, also for previously registered accounts. The old values saved in the profile are not individual rates. Exceptions are explicitly agreed individual amounts, percentages, and limits, including those provided by the partner; individual values do not change the global rules of joint or separate Application Settlement. The shift model retains the agreed company share, and granted exemptions from the fixed fee remain within their scope. Transition to this price list occurs in accordance with the effective date of the Terms applicable to the User.
      3. Starting cost: 30,00 zł at the first Settlement, if foreseen by the appropriate Cooperation model and Application rule. It is not charged again for each started week. The starting fee from the price list applicable to the given User at the time of the first Settlement is applied, regardless of the registration date and the old amount saved in the profile. Only an explicitly agreed individual rate may differ. Exemptions for separate Settlements are indicated with Applications below.
      4. TAXI — fixed group cost: total: basic cost 50,00 zł after the first Application appears and one surcharge 0,00 zł after the second Application appears in the week. The third and further Applications do not increase this surcharge. Example: three qualifying Applications settled for the first time in a week give a total of 50,00 zł of the fixed part, before exemptions, percentages, and starting cost.
      5. Courier applications — fixed group cost: separately: basic cost 30,00 zł for each Application settled for the first time in a week; surcharge for the second Application is not charged in this mode. Example: three qualifying Applications settled for the first time in a week give a total of 90,00 zł of the fixed part, before exemptions, percentages, and starting cost.
      6. Percentage part of the standard Settlement: UBER, BOLT, and FREENOW — 1,00% of qualifying revenue including VAT; TAXI and ITAXI settled with a taximeter — 5,00% of net qualifying revenue; Courier applications — 0,00% of net qualifying revenue. Relevant revenue exclusions and adjustments are taken into account. In the shift model, the revenue share is determined by the conditions appropriate for this model.
      7. The cost of the re-standard Settlement in the same week is 4 zł for each Application settled again: two such Applications mean 8 zł, and three 12 zł. Exemptions applicable to the Cooperation model remain in effect. Separate Application Settlements are subject to the price list indicated below.
      8. Fixed group costs apply to Applications settled standardly. Courier applications qualify for such a cost when the sum of their qualifying revenues in a given Settlement part exceeds the basic cost 30,00 zł. In the shift model, the fixed group cost for TAXI is not charged. Exemption from the fixed weekly cost does not mean exemption from the percentage part or starting cost.
      9. The granted free standard Settlement removes new basic group costs and surcharges for both groups. It uses one entitlement unit when there is a qualifying, unpaid TAXI or courier Application from the group covered by fixed costs; without such revenues, when excluding the costs of a given group or with permanent exemption from the weekly cost, the entitlement is not used. It does not cancel the costs of repetitions, the percentage part, or the starting cost. Monthly exemptions for a separate Application operate according to its price list. An individual limit of the percentage part does not cover fixed, starting costs, or additional amounts agreed for the Settlement.
      10. Application Settlement price list and scope
        1. BOLT FOOD — separate Settlement: fixed part 30,00 PLN; percentage part 0,00% of eligible net revenue, without limiting the percentage part for a single Settlement. Number of the first full Settlements in the month exempt from the fixed part: 1. The exemption does not cover the percentage part. Repeat Settlement of this Application in the same week: fixed part 4,00 PLN and percentage part from the revenues covered by this repetition. The week and month are determined by the date of Settlement performance; the repetition does not consume another full monthly exemption. For the first Settlement in the company, the starting cost is 30,00 PLN, taking into account the individual rate. The general rule includes Periods starting from 2026-09-21. For Users without an active Agreement at the moment 2026-09-05 14:40:55 a separate start date for Periods is 2026-09-07. A separate path also includes the account owner B2B. In the Settlement path of a civil law contract, revenues covered by this rule do not entitle reimbursement based on purchase invoices; this block does not include the separate path of the account owner B2B. An exception requires positive income from another Application not covered by the block in the last 30 days and applies exclusively to the costs of this separate activity.
        2. EATS — separate Settlement: fixed part 30,00 PLN; percentage part 0,00% of eligible net revenue, without limiting the percentage part for a single Settlement. The exemption does not cover the percentage part or fees for repeat Settlement in the same week. The week and month are determined by the date of Settlement performance; the repetition does not consume another full monthly exemption. Repeated Settlement of this Application in the same week: fixed part 4,00 PLN and percentage part from revenues covered by this repeat. The week and month are determined by the date of Settlement execution; the repeat does not consume another full monthly exemption. For the first Settlement in the company, the starting cost is 30,00 PLN, considering the individual rate. The general rule covers Periods starting from 2026-10-01. For Users whose first Period of this Application started no earlier than 2026-10-01, the separate start date of Periods is 2026-10-01; previously established qualification for this group is maintained.     2. in a shift model using a fleet Vehicle – the User Commission is determined according to the assigned schedule variant and the appropriate table below;
    3. taxes, contributions, and other public levies that the Partner is obligated to calculate or pay in connection with the Agreement;
    4. a fee of 70 PLN in the case of settlements concerning Deligoo Śląsk sp. z o.o.

Editorial supplement dated 07.09.2026: a previously omitted table with schedules used for OTT Śląsk was added, and the scope of the Łódź table was specified. The supplement describes existing variants; it does not change their rates or how they are calculated.

Łódź Schedules — User Commission thresholds (Uber and Bolt)

User Commission Minimum number of rides in the Settlement Period
60% 200
55% 150
50% 100
45% 1

OTT Śląsk Schedules and the basic variant — Uber

The schedule variant results from assigning the User to a specific program. For Łódź Schedules, Uber and Bolt rides are counted. For OTT Śląsk and the basic variant, Uber rides and indicators are counted. Merely using the MB Partner portal or On Time Taxi does not select a variant.

User CommissionPartner's ShareMinimum number of ridesAcceptanceCancellations
60%40%180at least 95%below 4%
55%45%without minimumat least 95%below 5%
50%50%without minimumat least 75%, below 95%below 5%
45%55%without minimum of rides; acceptance below 75% or cancellations at least 5%

The highest met threshold from the appropriate variant is applied. For example, exactly 95% acceptance meets the threshold of at least 95%, and exactly 4% cancellations do not meet the condition below 4%. Lack of data needed to assess the threshold does not automatically grant higher commission; the current User rate remains to be clarified. The percentage in the User Commission column indicates the driver's share, and the remaining percentage — the Partner's share. The commission base and separate Settlement components remain described below.

  1. In the Łódź Graphics variant: For a given Settlement Period, the highest threshold whose minimum number of rides the User has achieved is applied. The number of rides is determined based on the total Application Reports covered by the given shift model, taking into account Application adjustments. Conditions regarding the acceptance or cancellation rate are not applied to the thresholds.
  2. The commission base is the total value of revenues from rides assigned to the User in the Application Reports for a given Settlement Period, regardless of the method of payment by the passenger, accounting for Application adjustments. Tips, reimbursements, deposits, and amounts not being a payment for a ride are not included in the commission base unless an individual Agreement expressly states otherwise. Other Balance components, including Application fees, taxes, cash, and settlement costs from sec. 6, are accounted for separately.
  3. Any change to the commission base or thresholds can only operate prospectively and requires prior notification in accordance with § 16. The change does not affect a concluded Settlement Period.
  4. The amounts of fees indicated in the Terms are gross amounts unless, before ordering a given service, an individual Agreement explicitly indicates the net amount and VAT tax. The Partner does not charge other fees without indicating to the User their title, amount, or an objective calculation method before the cost arises. This rule does not apply to public law liabilities or third-party costs, the amount of which results from the law, a decision of an authority, or an order accepted by the User.
  5. Money collected from the Partner's clients constitutes amounts to be settled according to the Agreement and are included no later than in the next Settlement. The User may not retain or use unsettled cash in a manner contrary to the Agreement.
  6. The Partner may set a limit for cash orders. Exceeding the limit, failing to settle cash on time, or discrepancies in reports may result in a temporary suspension of cash orders until clarification and Settlement.
  7. If the Balance is negative or Debt arises, the Partner provides the User with a statement including at least the title, amount, and payment deadline. The User pays the due amount within 7 days of receiving the statement or demand unless the Agreement or a mandatory provision provides otherwise.
  8. In the event of Debt, the Partner may, to a proportionate extent to the risk and after documenting the basis, in particular: withhold the payout of the amount necessary to secure the Settlement, limit access to cash orders, block the fuel card, withhold the issuance of new Tools, demand the return of the Fleet Vehicle under terms resulting from the Fleet Vehicle rental Agreement, and take actions indicated in § 14–15.
  9. The Partner may offset its own due receivable against the User's claim within the legal limits. The receivable of the Fleet Entity or another third party may be collected or offset only when the Partner has assignment, power of attorney, User's authorization, or another legal basis. Offset information indicates the creditor, title, and amount.
  10. In the event of a dispute regarding part of the Balance, the Partner pays the undisputed portion. The disputed amount may be temporarily withheld to the extent reasonably necessary to clarify the matter. Such withholding does not constitute recognition of the existence of Indebtedness.
  11. The User's payment is credited according to its correctly indicated title and legal regulations. If the User has not specified the title, the Partner may allocate the payment to the oldest due liability, informing about it in the statement.
  12. The User may raise objections to the Settlement within 7 days from its availability. Lack of objections means acceptance of the Settlement for current handling, but does not exclude the right to report an obvious accounting error, a correction later provided by the Application, abuse, or a claim that cannot be effectively excluded. The Partner may correct Settlements in both directions upon disclosure of a documented error or correction of the Application and provides the User with a correction statement.
  13. After the termination of the Cooperation, the Partner prepares the final Settlement promptly after receiving the necessary data from the Application and other entities, generally no later than within 7 days. A subsequent correction of the Application may be settled separately.
  14. A positive Balance does not expire solely due to the User's inactivity. The payout may be withheld only to the extent resulting from the Agreement or the law, in particular due to the need for identity or account verification, proper deduction, seizure by an authorized body, or a dispute concerning a specific amount. Claims are subject to limitation according to statutory principles.
  15. Reimbursement of agreed costs related to the User's Vehicle is possible if provided for by the User's Vehicle rental Agreement, the cost is related to the performance of the Agreement, and the User provides a valid and paid proof of purchase. The cost reimbursement does not constitute an independent Settlement and may reduce the rental liability only to the extent resulting from the Agreement.
  16. The proof of purchase must be submitted through the Portal within the timeframe indicated in the Portal or the Agreement. The User confirms that the document is authentic, has been paid for, concerns the agreed purchase, has not been previously submitted for settlement, and contains data required by tax regulations.
  17. The Partner may refuse reimbursement of the cost if the document:
    1. contains incorrect purchaser data or does not contain the correct NIP of the Partner, where required;
    2. is a duplicate of a document already settled;
    3. is unreadable, incomplete, altered, or raises justified doubts about authenticity;
    4. is not an invoice or a correct simplified invoice;
    5. does not confirm payment, where confirmation is required;
    6. was submitted late and for this reason cannot be correctly included in tax or accounting settlements;
    7. concerns a purchase not agreed upon, unrelated to the Agreement, illegal, or exceeding the approved limit;
    8. does not allow assigning the purchase to the User or the User's Vehicle.
  18. A document from a foreign seller may be settled if it complies with tax and accounting regulations, concerns a cost permitted by the Agreement, and allows for the unambiguous determination of the parties, subject, date, amount, and currency of the transaction.
  19. In the case of a structured invoice in KSeF, the buyer's data fields (Podmiot2), in particular name, NIP, and address, must contain only the exact details of the Partner indicated in the Portal. It is not allowed to add the User's name or surname, registration number, unique driver code, or any other driver-identifying designation to the buyer's data. The designation needed to assign the document should be placed outside the buyer's data, for example, in the Podmiot3 section (if the issuer supports it), an additional description field, item description, or invoice footer. An invoice on which the driver's designation alters the buyer's data is treated as a document with incorrect buyer data and is rejected; settlement will only be possible based on a correct amendment, if the given cost is subject to reimbursement at all.

§ 5. Conditions of passenger transport

  1. The Partner bears the official cost of obtaining the first excerpt from the taxi license or reimburses this cost if the User has paid it after prior agreement. The cost of each subsequent excerpt is 50 PLN, including 33 PLN as the excerpt fee and 17 PLN as the stamp duty, and is charged to the User in the Settlement, provided that the amount of official fees does not change.
  2. The User submits certified copies of documents in the required number and, when justified, presents the originals and allows for making copies and submitting the documents to the appropriate office. Depending on the situation, the following may be required:
    1. a certificate of no criminal record not older than 30 days;
    2. a certificate of no criminal record from the country of origin, when required by regulations;
    3. a Polish category B driving license;
    4. a photo measuring 3,5 × 4,5 cm;
    5. a valid psychological test and medical certificate;
    6. translations of documents into Polish;
    7. a registration certificate and a document confirming legal title to the vehicle.
  3. The Partner does not guarantee the consideration of the application by the office. The deadline depends on the completeness of the documents, the actions of the User and the office; the Partner is not responsible for delays beyond its control.
  4. The Partner may check the correct marking and equipment of the vehicle and the completeness of the required documents. If a deficiency is found that threatens the legality or safety of the transport, the Partner may immediately block access to the Application until the breach is rectified.
  5. The User immediately, no later than within 24 hours of obtaining the information, reports, in particular: a change of owner or title to the vehicle, loss of insurance, negative vehicle inspection result, change of plates, seizure of the registration certificate or driving license, revocation of privileges, expiration of examinations, final conviction affecting the ability to perform transport, and any other legal or factual obstacle.
  6. For any culpable delay in providing the information mentioned in sec. 5, the Partner may charge a contractual penalty of 500 PLN for each day of delay, but not more than 5000 PLN per incident. The penalty is not charged for the period during which the User was objectively unable to make the report. The Partner may claim compensation exceeding the penalty only when provided for by the relevant Agreement.
  7. It is prohibited to perform transport without the required markings, equipment, excerpt from the license, or other documents required by law. For each confirmed case of performing transport with such a deficiency, the Partner may charge a contractual penalty of 2000 PLN if the breach was the fault of the User. In addition, the Partner may demand reimbursement of documented penalties, fines, and fees imposed on the Partner directly as a result of this violation, to the extent not covered by the contractual penalty.
  8. The User complies with national and local regulations on passenger transport, safety regulations, sobriety, working time, passenger and data protection, and Application rules. Significant or repeated violations may result in the immediate termination of the Agreement.

§ 6. Conditions of transport of food, parcels, and other items

  1. Before starting delivery, the User checks the cleanliness, completeness, and technical condition of the thermal bag and other equipment. Food must be protected from contamination, mixing with other goods, damage, and impact of external factors.
  2. The transport of food without an operational and clean thermal bag required by the Application or regulations is prohibited. A damaged or dirty bag that prevents hygienic transport must be replaced immediately.
  3. Only vehicles and equipment that meet technical, sanitary, and regulatory requirements may be used for transport. The User complies with hygiene rules, including hand washing, cleaning and disinfecting containers, and separating food from items that could contaminate it.
  4. The User is responsible for documented penalties, fines, complaints, and other costs imposed on the Partner directly as a result of the User's culpable breach of obligations under this paragraph, considering the contribution of the Partner or a third party.
  5. Prohibited, dangerous, or law-violating shipments must not be accepted or transported. In the case of justified suspicion, the User suspends the execution and contacts the Application or Partner.

§ 7. Conditions for the use of fuel cards

  1. The Partner may provide the User with a fuel card intended solely for purchases related to the Vehicle and Cooperation, within the limits of the categories of goods, limit, station, and vehicle indicated when the card is issued. The cost of the first issuance and standard shipping is borne by the Partner, unless otherwise agreed.
  2. The card and PIN are individual. The User keeps them separate, does not share with a third party, and does not use them for personal purposes, cash withdrawals, purchasing prohibited goods, or fueling a vehicle not assigned to the card.
  3. For the ORLEN card, the currently available weekly limits are 100, 200, 300, 400, or 500 PLN, and the deposit is 150% of the chosen limit and must be fully covered in the Balance before ordering. The Partner may change the limits with future effect, informing the User through the Official Channel. Transactions may be monitored and compared to mileage, tank capacity, Application Reports, and purchase documents.
  4. The User stores and presents the required receipts, invoices, mileage, or other documents confirming the correctness of the transactions.
  5. Loss, theft, retention of the card, disclosure of the PIN, or suspicion of unauthorized transaction is reported by the User without delay. The Partner blocks the card without undue delay.
  6. The User is responsible for transactions not in compliance with the Agreement, which they conducted or led to intentionally or through gross negligence, including transactions conducted before reporting the loss, if they did not secure the card or PIN. They are not responsible for transactions arising solely due to the Partner's action, the card issuer, or the payment system.
  7. In the event of irregularities, the Partner may block the card, request explanations and documents, charge the User the documented value of the unauthorized transaction, and request the return of the card.
  8. Upon the termination of Cooperation or upon request, the card must be returned or destroyed in the manner indicated by the Partner. A contractual penalty of 100 PLN may be imposed for culpable failure to return an active card within the specified time, considering the actual possibility of return and the costs of securing the card.

§ 8. Conditions for purchasing thermal bags

  1. The Partner sells new thermal bags on the Portal. The purchase is not a loan or refundable deposit.
  2. The type and price of the bag are presented before the order and recorded in the order. The price list may include, in particular, Bolt, Glovo, and Wolt bags at 120 zł, Uber Eats 150 zł, and Stuart 100 zł, if available.
  3. For courier shipping, an additional cost of 30 zł is charged. The order can be paid via the channel provided on the Portal or settled from a sufficient positive Balance.
  4. The ownership of the bag transfers to the User upon payment and issuance. Complaints and returns are handled according to the law and the information provided before purchase.
  5. The User maintains the bag in a condition of cleanliness and functionality required for hygienic transport.

§ 9. Terms of Use for Sports Cards

  1. The Partner may provide the User with a sports card under the operator's program terms. The User independently checks the current availability of facilities and complies with their regulations. The Partner is not responsible for changes or restrictions made by the operator that are beyond the Partner’s control.
  2. The card is ordered through a form in the Portal. Activation generally occurs from the first day of the nearest month, according to the order deadline and the operator's rules.
  3. The minimum usage period is 3 months from activation. Non-use of the card does not exempt from the activation period fee.
  4. Monthly fees are as follows:
    1. FIT&more Open – 130 PLN;
    2. FIT&more 2 times a week – 100 PLN;
    3. goFIT Open – 120 PLN;
    4. goFIT 2 times a week – 90 PLN;
    5. Aqua for child – 60 PLN;
    6. Junior for child – 110 PLN;
    7. other Medicover Sport operator fees – in the gross amount charged to the Partner, after prior informing the User.
  5. Upon ordering, the Partner may charge a deposit equal to one monthly fee from the Account Balance. The deposit secures overdue charges, and any unused portion is refundable after use of the card ends and final Settlement.
  6. Access to the card is provided via SMS or the Medicover Sport app. The User protects the access and does not share the card with unauthorized persons.
  7. Cancellation should be sent to kontakt@mbpartners.pl. It takes effect on the first day of the month following two full months after the cancellation submission, considering the minimum usage period.
  8. The Partner may refuse activation, particularly in the case of insufficient Deposit Balance or justified risk of non-payment of fees. Changes in prices or scope of services apply prospectively and require prior notification; the User may withdraw before the change takes effect, taking into account obligations already incurred towards the operator.

§ 9a. Approval of new Courier and Relocation Settlements

  1. This paragraph applies exclusively to new, separate settlements of courier applications and relocation services covered by this mechanism. It does not apply to Taxi Application Settlements or the historical payout path.
  2. Upon the conclusion of the Settlement Period, the Partner prepares a Settlement based on the operator's Application or Platform settlement data and the calculation rules defined in the Agreement and Portal. If a minimum hourly rate applies to the Agreement, the Settlement indicates the number of hours accepted for settlement, calculated based on the gross remuneration amount and the applicable minimum rate, as well as the applied rates, agreed costs, any adjustments, and the amount to be paid.
  3. The Settlement is made available to the User in the Portal along with the exact date of its automatic submission for payment. The Partner informs about the availability in the Portal and via email, SMS, or another agreed electronic channel.
  4. The User may use the “Approve Settlement and Order Payment” button. Approval includes the items in the Settlement, the amount to be paid, and the indicated number of hours. The User may also, before or after payment, report a specific and verifiable discrepancy concerning the recorded order, the number of hours, the applied rate, the agreed cost, the calculation of the minimum hourly rate, or the amount to be paid. The report should indicate the category, relevant order or period, amount, and available confirmation; a general request to increase the payment without indicating a discrepancy is not a correction of Settlement data.
  5. If the User does not approve the Settlement or report a discrepancy within 3 days from its availability and successful notification, the Settlement is automatically submitted for payment. Manual approval or submission for payment after this period constitutes the application of the electronic method agreed by the parties to confirm the number of hours indicated in the Settlement.
  6. Lack of response, automatic submission for payment, or payment does not imply waiver of claims, unconditional acceptance of all data, or loss of the right to report a specific error and receive the due correction.
  7. The User can voluntarily enable the “Order Automatic Payment of Subsequent Settlements” option in the Portal. The option is disabled by default and can be disabled at any time with effect for Settlements not yet made available. Each change is recorded with the date, time, account, IP address, and the version and hash of the message.
  8. A standing order does not constitute general consent to unknown prior changes in rates, penalties, blockades, or adjustments reducing remuneration. If a negative company or fleet entry is clearly tied in the System to a car or scooter fee or an installment charge, the standing order operates under normal rules. For other negative company or fleet charges, the standing order does not trigger immediate submission of the Settlement for payment; the User may manually approve it, and in the absence of a response, it will be submitted for payment after 3 days.
  9. Upon receiving a specific report, the Partner verifies the covered items with the authorized person's involvement, using available settlement records and materials provided by the User. A found error is accounted for in the correction and settled according to the verification result. The report does not alter items not covered unless the verification result indicates the need for their related correction.
  10. The system records the shared version of the Settlement, the number of hours indicated, the date and method of notification, the permanent disposition, manual approval or the expiration of the deadline without response, reported discrepancies, and corrections. The available Settlement along with the recorded event of manual approval or expiration of the 3-day period constitutes electronic documentation of the agreed method and result of confirming the number of hours. Documentation is stored for at least 3 years from the day the remuneration became due. For a Contract lasting longer than a month, the payment of remuneration resulting from the minimum hourly rate occurs at least once a month.

§ 10. Referring program conditions

  1. The referral program is available to Portal Users who have an individual referral link.
  2. A condition for participation is the registration of the referred person through the User's individual referral link. The link can be shared directly, on social media, in forums, or in any other lawful manner. Spam, automatic recipient lists, self-referrals, and the creation of fictitious or duplicate accounts are prohibited.
  3. Courier referral: The User receives 100 PLN if the referred person registered using their link, signed the Agreement, started working as a courier, and was active for at least three different Settlement Periods. In each of these three weeks, they must complete at least one task and achieve a positive income shown in the Application Report.
  4. Taxi driver referral: The User receives 150 PLN and three settlements without the basic settlement cost, if the referred person registered using their link, signed the Agreement, started working as a driver, and was active for at least three different Settlement Periods. In each of these three weeks, they must actually perform rides and achieve a positive income shown in the Application Report. If the referred person meets the above conditions, working as a TAXI driver in shift mode, the User receives instead a one-time reward of 300 PLN, without additional settlements free from the basic settlement cost.
  5. Referral bonus: Each referred person who registers with the User's individual referral link receives a one-time bonus of 50 PLN, added to their first Settlement. The bonus applies to both the referred courier and the TAXI driver, including those working in shift mode. It is independent of the reward for the referring User and does not require activity for three Settlement Periods.
  6. One referred person gives the referring User one individual reward. If at the time of qualification, they meet both the courier and TAXI conditions, the TAXI reward applies, considering shift mode rules. The number of referrals is unlimited: each subsequent qualified courier gives 100 PLN, each subsequent qualified TAXI driver in shift mode gives 300 PLN, and each subsequent qualified TAXI driver in other modes gives 150 PLN and three settlements without the basic settlement cost.
  7. Additional MB Partner bonus: For every set of five referred persons who meet the appropriate courier or TAXI conditions, the User additionally receives 250 PLN. After a set is counted, counting starts from the next qualified person.
  8. The new program rules apply solely to referrals registered after the launch of program V2. All referrals recorded earlier, including those awaiting individual rewards, remain in the historical program and are not converted to a 100 PLN, 150 PLN, or 300 PLN reward. Historical referrals retain their current progress and can only be completed under the program rules applicable at the time of their recording. The 50 PLN bonus for the referred person also applies exclusively to referrals covered by program V2.
  9. The Partner may verify the source of registration, the Agreement, reports, and actual activity. A fictitious account, self-referral, manipulating tasks, artificially generating turnover, or other documented abuse may result in the refusal or cancellation of an undue reward or bonus after allowing for explanations, unless immediate system protection is necessary.
  10. The progress of referrals is verified, and rewards for referring Users are calculated on Fridays after the scheduled process is launched. The cash reward is added to the Balance and paid out in a regular Settlement. A 50 zł bonus for the referred person is added to their first Settlement.

A one-time cash reward, with the same name and amount, is due to one person only once, even when assigned to multiple campaigns. In weekly programs, each completed week and tranche are awarded separately, only once. The amount transferred to the Balance is subject to Settlement according to the Agreement; under the Agreement, the payout amount considers applicable contributions and taxes.

The published description is a record of this version of the Terms. A change in campaign settings does not alter the content of the published document.

§ 11. Use of Fleet Tools and Vehicles

  1. A Partner or Fleet Entity may provide the User with Tools or a fleet Vehicle based on a protocol, Agreement, or issuance confirmation. The issuance document should, where possible, indicate the condition, complete equipment, existing damages, deposit, and return date.
  2. The User uses the property in accordance with its purpose, instructions, regulations, and Agreement, maintains its technical and visual condition, and does not provide it to unauthorized persons.
  3. Any defect, accident, damage, loss, or theft must be reported immediately. In the event of theft or another incident requiring intervention, the User notifies the police and secures available evidence.
  4. The User is liable for actual, documented damage caused by their fault or the fault of a person they are responsible for. Normal wear, hidden defect, failure not caused by the User, and damage covered by the perpetrator or insurer cannot be charged again.
  5. The cost of damage should be evidenced by a protocol, photos, estimate, invoice, or other credible document. If the User disputes the cost, they may raise objections and present their own evidence. The undisputed portion of the deposit is returned within 14 days of the final determination of property condition, unless a separate Agreement under law provides otherwise.
  6. The property owner or entity authorized based on the Agreement may conduct a status inspection of Tools upon prior arrangement of the date, and without prior notice when necessary to prevent direct threat to safety or property.
  7. Detailed terms of liability for the fleet Vehicle, deductible, deposit, repair, downtime, insurance, fines, towing, and return are defined by the fleet Vehicle rental Agreement. These Terms do not extend the User's liability beyond the scope resulting from this Agreement and mandatory law.
  8. The binding fee for organizing and availability of the fleet Vehicle is specified by the active reservation, Agreement, or protocol concerning the specific Vehicle. The model price list is for information only and does not replace the fixed rate of a specific issuance.
  9. The fee for organization and availability is due regardless of the number of rides and income if the fleet Vehicle was at the User's disposal in accordance with the Agreement. It is not charged for the period when the Vehicle, through no fault of the User, was unfit for the agreed use, unless the fleet Vehicle rental Agreement under law states otherwise.
  10. In the case of debt due related to a Fleet Vehicle, the Partner may request the return of the vehicle on behalf of the owner only based on the Agreement or appropriate authorization. If the vehicle has a remote lock function, it may only be used after verifying the location, when the vehicle is stationary, the engine is off, and there are no passengers inside. The operation should be recorded and should not pose a threat to life, health, or road traffic.
  11. The receivables of the OTT Organizer or Fleet Entity may be settled by the Partner only to the extent resulting from an assignment, power of attorney, authorization to collect or set-off, or another legal basis. The statement indicates the correct creditor, title, and amount. If the Balance is insufficient, the User pays the due amount to the indicated account within 7 days from receiving a correct notice.
  12. Using a cash register or taximeter provided by the Partner requires a deposit:
    1. cash register – 500 PLN;
    2. cash register with taximeter – 1000 PLN.
  13. The Partner covers the agreed costs of mandatory inspections and servicing of the device provided by the Partner. The User covers the cost of installation, removal, and any culpable damage and sends a monthly fiscal report by the 10th day of the following month. The service fee is 5% of the turnover shown in the report.
  14. With the prior written consent of the Partner, the User may independently cover the cost of purchasing a fiscalized cash register or taximeter for the specified data. In this case, the User covers installation, removal, inspections, and servicing, sends the report by the 10th day of the following month, and the service fee is 1% of turnover. The return of the device and possible settlement of the purchase cost is based on a separate written agreement, taking into account the use of the fiscal module.
  15. The cash register, taximeter, and other Tools must be returned promptly after the end of the Cooperation or upon proper request, no later than within 7 days, unless a shorter period is objectively necessary for the safety of the property and is provided for in the Agreement.

§ 11a. ON TIME TAXI Program and promotions

  1. This paragraph applies when the User has qualified for the ON TIME TAXI program or received a Vehicle covered by the relevant promotion. Merely logging into the On Time Taxi portal does not automatically grant the Vehicle, promotional tag, or discount.
  2. In the ON TIME TAXI program, the Partner manages a joint account, enters into Agreements regarding cooperation with Applications, and processes Settlements, while the OTT Organizer organizes the fleet offer. The Agreement regarding a specific Vehicle is concluded by the User with the entity entitled to make it available; it specifies in particular the responsibility, deposit, issuance, and return.
  3. Current promotions are calculated based on correctly settled Uber rides. They do not include canceled, unsettled, deemed incorrect rides, or rides made on another person's account.
  4. First, the base fee for the Vehicle resulting from an active reservation or Agreement is charged. Upon meeting the level conditions, the system records a promotional credit that reduces the effective weekly cost to the amount indicated in the table. Failure to meet the level leaves the base fee from the reservation or Agreement.

  1. In the DUO variant, the number of rides and acceptance and cancellation rates are jointly set for both drivers assigned to the Vehicle, while the credit and effective cost are recorded separately for each person.
  2. If the User meets several levels, the most favorable achieved level applies. For the first and last incomplete week, the base fee and credit may be calculated proportionally to the number of days the Vehicle is made available.
  3. The promotion does not include fuel or charging, deposits, fines, parking fees, excessive cleaning, damages, equipment shortages, deductible, towing, or other liabilities provided for in the Agreement.
  4. Changes to Vehicle models, sources of rides, thresholds, or promotion amounts apply only prospectively and require notification in accordance with § 16. The status in force for a given week is recorded in the Settlement.

§ 12. Termination of Cooperation

  1. Each party to the relevant Agreement may terminate it with a 7-day notice period, unless this Agreement or law provides for a different period.
  2. The Agreement may be terminated with immediate effect in cases of material breach as indicated in § 3 paragraph 5, as well as in other cases expressly provided for in the Agreement or by law.
  3. The termination of Cooperation does not exempt from the obligation of final Settlement, return of property, payment of due obligations, performance of tax duties, or maintaining confidentiality.
  4. Tools, Vehicles, cards, license extracts, taxi identifiers, and other property must be returned to the proper authorized entity in unimpaired condition considering normal wear and tear, at the place and time specified in the Agreement or protocol, generally no later than within 7 days from the termination of the Agreement.
  5. The Partner, OTT Organizer, or another duly authorized entity may seek compensation for documented damage based on terms resulting from the Agreement and legal provisions. Termination of the Agreement does not result in the forfeiture of the positive Balance or deposit beyond the amount of correctly settled liabilities.

§ 13. Data Protection and Confidentiality

  1. The Partner and OTT Organizer process personal data solely within the scope of their tasks and in accordance with regulations, particularly the Regulation of the European Parliament and Council (EU) 2016/679 (GDPR). Detailed information is available in the MB PARTNER Privacy Policy and the ON TIME TAXI Privacy Policy..
  2. Depending on the specific process, the Partner or OTT Organizer may act as an administrator, co-administrator, or processor. The roles of the Partner, OTT Organizer, Application, Fleet Entity, and other entities are determined by regulations, relevant agreements, and informational clauses. Acceptance of the Terms does not replace consent if required, nor does it change roles arising from law.
  3. The User uses passenger, client, recipient, and other person data only to the extent necessary to carry out a specific order and in accordance with the Application's instructions. Copying data, contacting after order completion without basis, publishing data, or using it for personal purposes is prohibited.
  4. Confidential information includes non-public commercial, technical, organizational, and financial information, customer data, contract content, security instructions, access data, and information marked as confidential or whose confidential nature arises from the circumstances.
  5. The obligation of confidentiality does not cover information that was publicly available without breach of the Agreement, was legally obtained from a third party, was known to the recipient before disclosure, or must be disclosed under law or a binding authority request. To the extent legally possible, the Party obliged to disclose informs the other Party beforehand.
  6. The obligation of confidentiality lasts for the period of Cooperation and 5 years after its termination, and with respect to trade secrets, as long as the information retains such character.
  7. After termination of Cooperation, the User returns or securely deletes Partner's information and media, except for documents that must be retained under law or for the purpose of establishing, pursuing, or defending claims.

§ 14. FleetCheck

  1. By accepting the general terms of cooperation, the User makes the following statement:
    1. I declare that I have been informed about the possibility of reporting to the FLEETCHECK register owner PZPA Solutions Sp. z o.o. violations related to the performance of my duties, including those related to debt. I acknowledge that I have the right to object to the entry in the register and to correct it.
    2. I consent to the transfer (assignment) of my claims arising from the concluded legal relationship (cooperation/employment agreement) to the authorized entity indicated by PZPA Solutions to the extent consistent with the purpose described in the driver/courier offenses register and personal data processing rules. Furthermore, I consent to the processing of my personal data for the purpose of pursuing claims resulting from outstanding payment arrears and to the transmission of information about my debt to institutions dealing with creditworthiness and payment reliability, including the Credit Information Bureau S.A. (BIK), in accordance with applicable laws. I declare that I have been informed about the possibility of assignment within settlements, as well as about retaining my rights, including the right to access data, correct it, and object to processing.

§ 15. Data processing in cases of debts, abuses, and disputes

  1. In the event of any financial arrears on the part of the User to the Partner, including those resulting from Settlements, Agreements, contractual penalties, or failure to fulfill obligations under these General Cooperation Terms, the Partner has the right to process the User's personal data until the full settlement of the debt, regardless of the termination of Cooperation or the termination of Agreements by either Party.
  2. The User's data may also be processed after the termination of Cooperation to the extent necessary for:
    1. pursuing civil claims,
    2. debt collection,
    3. conducting court, enforcement, and administrative proceedings,
    4. documenting a history of debts and abuses to protect the Partner's legally justified interests.
  3. The Partner has the right to transfer the User's data, including information about arrears, breaches of obligations, abuses, and refusal to settle obligations, to the register FLEETCHECK maintained by PZPA Solutions Sp. z o.o., in accordance with its regulations and data protection laws.
  4. The User acknowledges that the entry in the FLEETCHECK register includes, among others:
    1. the User's identification data,
    2. information regarding the nature and amount of the debt,
    3. a history of breaches of obligations arising from the Agreements and these General Terms of Cooperation,
    4. the date of incurrence and the status of the debt.
  5. The Partner has the right to process and transfer User data to FLEETCHECK also in the event of:
    1. suspected abuse or dishonest actions,
    2. concealment of data,
    3. refusal to return Partner’s property or tools,
    4. attempts of fraud or falsification of documents,
    5. gross violation of cooperation principles resulting in financial or reputational harm to the Partner.
  6. The transfer of data to FLEETCHECK may occur regardless of whether the User has an active agreement or the Cooperation has been terminated, provided there are grounds under sect. 1–5.
  7. The User has the right to:
    1. access information processed in the FLEETCHECK registry,
    2. rectify inaccurate data,
    3. object,
    4. request data deletion after full settlement of obligations and conclusion of related proceedings.
  8. Data removal from the FLEETCHECK registry occurs not earlier than after:
    1. full repayment of the debt,
    2. return of all tools, property, and documents of the Partner,
    3. completion of all disputes and proceedings,
    4. written confirmation from the Partner that there are no grounds for further processing.
  9. In the event of arrears, delays in settlements, or other unregulated obligations to the Partner, the Partner may temporarily limit or block the User's access to the Portal, Application, and tools provided within the Cooperation — only until the matter is clarified or the arrears settled. The Partner will inform the User of the blockade in a manner appropriate to the situation, particularly via a Portal message or email.
  10. Until the full settlement of arrears or clarification of the dispute, the Partner may withhold the issuance of new tools, cards, devices, accessories, extracts, and prevent the activation of new Applications. This decision aims to ensure the proper settlement of the existing Cooperation and protect the Partner's legally justified interests.

§ 16. Final Provisions and Amendments to the Terms

  1. The Partner may change the Terms for an important reason, particularly due to:
    1. change in legal regulations, decision of an authority, or ruling affecting the Cooperation;
    2. change in the rules, functions, settlements, or requirements of the Application or service operator;
    3. technological change or the need to eliminate a security threat;
    4. introduction, change, or withdrawal of a service, Tool, Vehicle, or method of Settlements;
    5. change in external costs, taxes, contributions, official fees, or supplier prices;
    6. necessity to counteract abuses, clarify ambiguities, or correct an obvious error.
  2. The change is limited to the scope resulting from its cause, applies prospectively, and does not infringe acquired rights or Settlements for completed Settlement Periods. The Partner publishes the new version with a number, publication date, and effective date, and provides access to the previous version.
  3. The Partner informs about the change at least 14 days before it takes effect via at least one Official Channel. The information indicates the most important changes, the effective date, and the User's right to terminate the Cooperation.
  4. A User who does not accept the change may terminate the Agreement and cease using the services up to the day before it takes effect, subject to the obligation of final Settlement and return of property.
  5. Continued use of the Portal, Application, or services after the effective date of the properly communicated change constitutes acceptance to the extent permissible by law. If the nature of the Agreement or regulations requires explicit consent, the Partner will obtain it before applying the change.
  6. A change necessary to comply with mandatory law, authority decision, or eliminate a direct cybersecurity threat may take effect without observing the 14-day period, but only to the necessary extent. The Partner informs about it without undue delay and provides the reason.
  7. Polish law applies to the Agreements and Terms. Disputes are resolved by the competent court in accordance with generally applicable regulations. A different court jurisdiction may be agreed upon in an individual Agreement between entrepreneurs, if permitted by law.
  8. A Party is not liable for failure to perform an obligation to the extent it was caused by an external, extraordinary, and unavoidable event despite exercising due diligence, particularly a critical infrastructure failure, an act of authority, a natural disaster, or a widespread third-party system failure. The Party affected by such an event shall immediately inform the other Party and mitigate its effects. The provision does not exempt from payment of liabilities incurred before the event or from the obligation to return property when possible and safe.
  9. The Parties shall first attempt to amicably resolve the dispute. A reservation or complaint can be sent to kontakt@mbpartners.pl. The Partner shall respond without undue delay, generally within 14 days, and in a matter requiring data from the Application or a third party, inform of the reason and expected response time.
  10. The invalidity or ineffectiveness of a single provision does not affect the other provisions. In place of such a provision, a legal provision or a legally permissible solution closest to the economic purpose of the Parties shall apply.
  11. Failure to exercise a specific right in one case does not constitute a waiver of it for the future. No provision of the Terms excludes or limits liability that cannot be excluded or limited by law.
  12. The Partner may record the date, time, User identifier, and the number of the accepted version of the Terms. Upon User's request, he provides the version in force at that time in a form that can be saved.
  13. The current version of the Terms is available directly on the portal in use: https://kierowca.mbpartners.pl/warunki/ or https://portal.ontimetaxi.pl/warunki/. Both addresses display the same published version of MB Partner.
